Item 5.07 Submission of Matters to a Vote of Security Holders.
On June 5, 2025, Viant Technology Inc. (the “Company”) held its 2025 annual meeting of stockholders (the “Annual Meeting”). As of April 11, 2025, the record date for the Annual Meeting, 16,170,192 shares of Class A common stock and 46,720,212 shares of Class B common stock (collectively, the “Common Stock”) were outstanding and entitled to vote at the Annual Meeting. Holders of the Company’s Class A common stock and Class B common stock were entitled to one (1) vote per share and voted together as a single class on all matters submitted to a vote of stockholders at the Annual Meeting. At the Annual Meeting, holders of approximately 95.02% of the voting power of the outstanding shares of Common Stock entitled to vote were present in person either by virtual attendance or by proxy. The following are the voting results for the proposals considered and voted upon at the meeting, each of which were described in the Company’s Definitive Proxy Statement filed with the Securities and Exchange Commission on April 23, 2025.
Proposal One: Election of Directors
The Company’s stockholders elected the person listed below as a Class I director, to serve until the Company’s 2028 annual meeting of stockholders and until his successor is duly elected and qualified, or until his earlier death, resignation or removal. The final voting results are as follows:
