Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 20, 2026, the Company announced the retirement of Pamela Bilash as Chief Human Resources Officer effective April 1, 2026. The Company thanks Ms. Bilash for her more than 12 years of service, during which she led the human resources function through several transformative periods and fostered a culture of putting people first.

On the same day, the Company announced that Elizabeth Andora has been hired as Chief People Officer starting February 23, 2026. Ms. Andora most recently served as Chief Human Resources Officer at Maxar Technologies. Ms. Bilash will provide assistance and advisory services during the transition period until her retirement on April 1, 2026.

On February 23, 2026, the Company issued a press release relating to Ms. Bilash's retirement and Ms. Andora's hiring. A copy of such press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
