Cognex Corporation’s 2026 Annual Meeting of Shareholders will be held on April 29, 2026 at Cognex Corporation, One Vision Drive, Natick, Massachusetts, at 9:00 a.m., Local Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote FOR the nominees listed in Proposal 1 and FOR Proposals 2, 3 and 4.

  1.

The election of three directors to serve for a term ending in 2029.

 

Nominees: (01) Matthew Moschner

  (02) Angelos Papadimitriou

  (03) Christopher Donato

  2.

To approve an amendment to the Cognex Corporation 2023 Stock Option and Incentive Plan.

  3.

To ratify the selection of KPMG LLP as our independent registered public accounting firm for fiscal year 2026.

  4.

To approve, on an advisory basis, the compensation of Cognex’s named executive officers, as described in the proxy statement including the Compensation Discussion and Analysis, compensation tables and narrative discussion (“say-on-pay”).
