The 2026 Annual Meeting of Shareholders of the Company has been called to consider and act upon the following matters:
The Board of Directors recommends a vote FOR all the nominees listed in Proposal 1 and FOR Proposals 2 and 3.

3.Advisory (non-binding) approval of the compensation paid to named executive officers.
4.To transact such other business as may properly come before the annual meeting and any adjournment or postponement of the meeting.
