Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 21, 2026, Kenneth S. Booth notified Credit Acceptance Corporation (the “Company) of his resignation from the board of directors of the Company (the “Board”). Mr. Booth has advised the Company that his resignation from the Board is not because of, or a result of, any disagreement with the Company, its management, the Board or any committee of the Board.

The Company thanks Mr. Booth for his long‑time service and commitment to the Company.

In connection with Mr. Booth’s departure from the Board, the Board has reduced the size of the Board from six directors to five directors.
