Item 3.01.    Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On August 7, 2026, the New York Stock Exchange (the “NYSE”) notified BlackSky Technology Inc. (the “Company”), and, on August 10, 2026, the NYSE publicly announced that it has determined to (a) commence proceedings to delist the Company’s warrants, exercisable for shares of Class A common stock at an exercise price of $92.00 per share (the “Warrants”) which expire in September 2026 and (b) immediately suspend trading of the Warrants due to “abnormally low selling price” levels pursuant to Section 802.01D of the NYSE Listed Company Manual.

Trading in the Company’s common stock will be unaffected and will continue on the NYSE under the symbol “BKSY,” subject to the Company's continued compliance with the NYSE’s other continued listing requirements.
