Item 7.01 Regulation FD Disclosure.
On December 17, 2025, Beneficient (the “Company”) issued a press release announcing that the Company’s Board of Directors (the “Board”) appointed Peter T. Cangany, Jr. to serve as the Chairman of the Board, effective December 15, 2025.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
