Item 8.01 Other Events.

The shares of the operating subsidiary of ACM Research, Inc. (the “Company”), ACM Research (Shanghai), Inc. (“ACM Shanghai”), are listed on the Sci-Tech innovation board of the Shanghai Stock Exchange.

On February 27, 2026, ACM Shanghai issued an announcement (the “Announcement”) regarding its proposed profit distribution plan for fiscal year 2025 (the “Plan”). Pursuant to the Plan, a cash dividend of RMB 6.233 per 10 shares (inclusive of tax) will be distributed, no bonus shares will be issued and no conversion of capital reserves into share capital will be carried out. The profit distribution will be calculated based on the total share capital registered on the equity distribution record date, and the specific date will be set out in the equity distribution implementation announcement. The Plan has been approved by the Board of Directors of ACM Shanghai, and is subject to the approval of the shareholders of ACM Shanghai and its 2026 Annual General Meeting of Shareholders. A copy of the Announcement is attached as Exhibit 99.1 hereto.
