Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On and effective August 19, 2026, Asbury Automotive Group, Inc. (the “Company”) and Jed Milstein, the Company’s Senior Vice President & Chief Human Resources Officer, ended Mr. Milstein’s employment relationship with the Company. Effective August 20, 2026, Wendy Reynolds-Dobbs, the Company’s Vice President, Talent Development & Chief Culture Officer, began serving as interim Chief Human Resources Officer.
Any severance pay to which Mr. Milstein would be entitled would be paid in accordance with the terms of that certain severance pay agreement between Mr. Milstein and the Company dated February 21, 2017, as a termination without cause, and as may be further determined subject to the discretion of the Company’s Compensation and Human Resources Committee of the Board of Directors.
