Amend the company’s memorandum and articles to extend the date to consummate a business combination by three 3-month extensions to September 19, 2026, contingent on $150,000 extension payments per extension by insiders; failure to approve could lead to liquidation.
Amend the investment management trust agreement to extend the date to commence liquidating the trust account by three 3-month extensions to September 19, 2026, with $150,000 per extension; loans from sponsor may be provided; failure to approve could lead to liquidation.
Authorize the chair to adjourn the meeting to a later date to solicit additional proxies if Proposals 1 and 2 do not receive sufficient votes.
