Approve increase in authorized shares of Class A common stock from 650,000,000 to 1,000,000,000 in connection with the redomestication.
Approve issuance of more than 20% of issued and outstanding common stock pursuant to the equity purchase facility with SZOP Opportunities I LLC to comply with Nasdaq Listing Rule 5635(d).
Authorize one or more proxy holders to adjourn the Annual Meeting to solicit additional proxies if there are insufficient votes for Proposals 2-6.
