Ratify the appointment of CBIZ CPAs P.C. as the Company’s independent registered public accounting firm for the year ending December 31, 2025.
Amend the SUNation Energy, Inc. 2022 Equity Incentive Plan to increase the number of shares reserved for issuance to 1,000,067, increase the number of shares that can be issued as incentive stock options to a maximum of 25,000,000, and implement an evergreen provision for the purpose of increasing the number of shares of common stock reserved for issuance automatically on the first trading day of each calendar year beginning with calendar year 2026 through and including the first trading day of calendar year 2032 by up to 5.0% of the total number of shares of our stock outstanding on December 31 of the immediately preceding calendar year.
To adjourn the Annual Meeting to a later date to solicit additional proxies if there are insufficient votes to approve any of the proposals.
