Amends the Trust Agreement to extend the Business Combination Period from January 16, 2026 to January 16, 2027, with Sponsor monthly contributions of $125,000; extension timed with the Extension Amendment.
Amends the Trust Agreement to prohibit withdrawing interest to pay dissolution expenses; dissolution expenses must be funded from outside the Trust Account.
Requires the Company to file a Current Report on Form 8-K within four business days of each extension payment (Sponsor Contribution) made in connection with the Extension Amendment and Trust Amendment; disclosure of such payments.
If votes are insufficient to approve the Extension Amendment and/or the Trust Amendment, directs the chairman to adjourn the meeting to a later date to allow further solicitation.
