Approve an amendment to the Certificate of Incorporation to authorize one or more reverse stock splits over the next two years in a range of 1-for-30 to 1-for-200 (aggregate not to exceed 1-for-200), at the Board's discretion, to regain Nasdaq compliance and improve liquidity.
Ratify the appointment of CBIZ CPAs P.C. as the Company's independent registered public accounting firm for the year ending December 31, 2025.
Authorize the adjournment or adjournments of the Special Meeting to a later date or dates to solicit additional proxies if there are not sufficient votes for Proposal One or Proposal Two.
