Amend the Certificate of Incorporation to effect a reverse stock split at a ratio between 1-for-10 and 1-for-30, determined by the Board, and reduce authorized common stock from 250,000,000 to 25,000,000, with the reverse split conditioned on consent of Series C Preferred Stock.
To approve the adjournment of the Special Meeting to the extent there are insufficient proxies at the Special Meeting to approve the Reverse Split.
