Election of five Board nominees: Terence J. Cryan, J. Philipp Stratmann, Clyde W. Hewlett, Corliss J. Montesi, and Jim Thompson, to serve on OPT's Board until the 2026 Annual Meeting and until their successors are duly elected and qualified.
Amend the 2015 Plan to (a) increase the number of shares reserved for issuance by 5,000,000; (b) implement a calendar-year limit on awards based on a formulaic 10x base cash compensation; (c) allow withholding and for withholding, to be available again for issuance; and (d) allow withholding of shares to satisfy tax obligations.
Amend the Certificate of Incorporation to increase the authorized shares of Common Stock from 300,000,000 to 400,000,000.
Ratify Baker Tilly LLP as OPT’s independent registered public accounting firm for the fiscal year ending April 30, 2026; not required by law, but the Board requests input.
Advisory (non-binding) vote approved by stockholders on the compensation of OPT’s named executive officers as disclosed in the Proxy Statement.
