Two proposals: Reverse Stock Split Amendment and Adjournment Proposal.
Amend charter to authorize a board-discretionary reverse stock split of all issued and outstanding common stock at a ratio between 1-for-2 and 1-for-50, to be determined by the Board prior to the one-year anniversary of the special meeting, with such ratio to be determined by the Board without further approval or authorization of stockholders (the “Reverse Stock Split Proposal”).
To approve the adjournment of the Special Meeting, if necessary or appropriate, to solicit additional proxies if there are insufficient votes at the time of the Special Meeting to approve the Reverse Stock Split Proposal.
