To approve the increase of the maximum number of authorized shares under the Stock Incentive Plan to 1,500,000 shares and automatic annual increases of 4.5% starting Jan 1, 2026 for ten years.
To approve increasing the authorized common stock from 75,000,000 to 3,000,000,000 shares.
To amend the bylaws to permit holders of common stock to take action by written consent in lieu of a meeting.
To approve adjournments of the Annual Shareholders Meeting if necessary or appropriate to solicit additional proxies.
