Issuance of 19.99%+ of the outstanding Common Stock in connection with the Securities Purchase Agreement and the Amended and Restated Common Shares Purchase Agreement (including conversion and exercise of Series A Preferred Stock and Warrants, plus pre-funded warrants) and related caps; a proposed amendment to increase authorized Common Stock; and an adjournment to solicit additional proxies.
Approve the issuance of shares representing 19.99% or more of the Company's outstanding Common Stock in connection with the Securities Purchase Agreement and the Common Shares Purchase Agreement, including issuances upon conversion of Series A Preferred Stock and exercise of Warrants, and subject to the Beneficial Ownership Limitation and the Exchange Cap.
Approve an amendment to the Amended and Restated Certificate of Incorporation to increase the total number of authorized Common Stock from 200,000,000 to 400,000,000 (the Company would issue 1,000,000 Preferred Stock).
Approve an adjournment of the Special Meeting to solicit additional proxies if necessary or appropriate.
