Election of Matthew M. Jenusaitis and Robert A. Berman as Class II Directors to hold office until the 2028 Annual Meeting of Stockholders or until their successors are elected and qualified or until their earlier death, incapacity, removal or resignation.
To approve, on a non-binding, advisory basis, the compensation of our named executive officers, as disclosed in the proxy statement.
To ratify the Audit Committee’s appointment of CBIZ CPAs P.C. as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2025.
To approve the enVVeno Medical Corporation 2025 Equity Incentive Plan (the 2025 Plan). If approved, the 2025 Plan will become effective and replace the 2016 Omnibus Plan for new awards.
To transact, in the discretion of the Board of Directors, such other business as may properly come before the Meeting or any adjournment thereof.
