The special meeting of INVO Fertility, Inc. stockholders will consider six matters: Auditor ratification, Warrant issuance, Common stock increase, Plan amendment to the 2019 Stock Incentive Plan, adjournment to solicit additional proxies, and any other business properly brought before the meeting.
Ratification of the appointment of WithumSmith+Brown, PC as our independent registered public accounting firm for the fiscal year ended December 31, 2025.
To approve, in accordance with Nasdaq Listing Rule 5635, the issuance of up to 4,733,728 shares of common stock, par value $0.0001, upon exercise of a warrant issued to a certain investor in a private placement closed on December 4, 2025, and any additional shares due to an adjustment event pursuant to the terms of such warrant.
The approval of an amendment to our Amended and Restated Articles of Incorporation to increase the number of authorized shares of Common Stock from 6,250,000 to 250,000,000.
The approval of a fourth amendment and restatement of our 2019 Stock Incentive Plan to increase the number of shares of Common Stock available for issuance thereunder to a total amount of 1,000,000, equal to approximately 10% of the total of our total issued and outstanding stock on a fully-diluted basis.
The approval of any adjournments of the Special Meeting for the purpose of soliciting additional proxies if there are not sufficient votes at the Special Meeting to approve the Warrant Proposal, the Common Stock Increase Proposal, or the Plan Amendment Proposal or to establish a quorum.
To conduct any other business properly brought before the Special Meeting or any continuation, postponement, or adjournment thereof.
