Election of five nominees to serve on the Company's board for a term of one year or until their successors are elected and qualified; nominees are Doron Besser, M.D.; David Johnson; Zeev Rotstein, M.D.; Nino Pionati; and Alison Geiger Burgett.
Ratification of Kost Forer Gabbay & Kasierer, a member of Ernst & Young Global, as NanoVibronix's independent registered public accounting firm for the fiscal year ending December 31, 2025.
Approval of a first amendment to the NanoVibronix 2024 Long-Term Incentive Plan to increase the total number of shares authorized for issuance by 1,200,000, to 1,205,454 shares; includes extension of the Israeli Appendix.
Authorize the issuance of underlying shares in connection with the July 2025 private placement of Series H Convertible Preferred Stock and warrants, potentially in excess of 19.99% of the common stock outstanding, to satisfy Nasdaq Listing Rule 5635(d).
Approval to adjourn the Annual Meeting to a later date, if necessary or appropriate, to allow for further solicitation and voting of proxies.
