The Special Meeting will consider four management proposals: reverse stock splits under the Certificate of Incorporation; issuance of up to 100,000,000 Class A shares under the Equity Reserve Facility; amendment to the 2022 Omnibus Incentive Plan increasing the share reserve by 9,000,000; and issuance of up to 41,751,437 Class A shares under a court-approved settlement.
To authorize the Board to effect one or more reverse stock splits of the Company's common stock at a ratio not less than 2-for-1 and not greater than 250-for-1, to be determined by the Board, before December 26, 2026.
Approve the issuance of up to 100,000,000 shares of Class A Common Stock under Nasdaq Listing Rule 5635(d) pursuant to the Equity Reserve Facility, subject to applicable limits and conditions.
Increase the number of shares issuable under the 2022 Omnibus Incentive Plan by 9,000,000 shares (from 7,500,000 to 16,500,000).
Authorize issuance of up to 41,751,437 Class A Common Stock shares as part of a court-approved settlement and exchange with Continuation Capital, subject to issuance cap and other limits.
