Three management-proposed matters are on the special meeting agenda: (1) Warrant Exercise Proposal to approve exercisability of Crypto Pre-funded Warrants and Crypto Warrants and the issuance of the underlying Common Stock; (2) COI Amendment to increase authorized Common Stock from 200,000,000 to 500,000,000 (and total capital stock to 510,000,000); and (3) Plan Amendment Proposal to increase the number of Common Stock shares reserved for issuance under the 2020 Equity Incentive Plan by 5,000,000.
Approve the exercisability of 6,888,382 warrants (3,444,191 pre-funded warrants and 3,444,191 Series E-2 warrants) and the issuance of the underlying Common Stock, as issued under the September 29, 2025 Securities Purchase Agreement.
Approve an amendment to the Certificate of Incorporation to increase the number of authorized shares of Common Stock from 200,000,000 to 500,000,000 (total authorized capital stock would be 510,000,000).
Approve an amendment to the 2020 Equity Incentive Plan to increase the number of shares of Common Stock reserved for issuance by 5,000,000.
