By special resolution, to amend the Existing Charter to extend the deadline by which the Company must consummate a Business Combination from December 19, 2025 to June 19, 2026 (30 months after the IPO).
Resolved that Bayview’s investment management trust agreement be amended to allow the Company to extend the termination date up to six times, with all six extensions comprising one month each, to June 19, 2026, by providing five days’ advance notice and depositing $50,000 per month into the Trust Account until June 19, 2026.
Resolves to adjourn the Extraordinary General Meeting to a later date or dates, if necessary, to permit further solicitation and vote of proxies if, based on the vote tabulation, there are not sufficient votes to approve the Extension Amendment Proposal and the Trust Agreement Amendment Proposal.
