Two proposals are being voted on: (1) approval of issuance of more than 19.99% of Azitra's issued and outstanding common stock underlying warrants to Alumni Capital under the November 24, 2025 Securities Purchase Agreement; and (2) approval to adjourn the special meeting to solicit additional proxies if there are insufficient votes for Proposal 1.
To approve the issuance of more than 19.99% of our outstanding shares of common stock, comprised of shares of common stock underlying warrants, pursuant to the Securities Purchase Agreement with Alumni Capital LP, dated November 24, 2025; this includes the issuance of shares and warrants that could raise approximately $3.0 million in gross proceeds if exercised, and is required under NYSE American Company Guide Sections 713(a) and 713(b).
To adjourn the Special Meeting, if necessary, to solicit additional proxies if there are insufficient votes in favor of Proposal 1.
