Authorize issuance of warrants to the Company’s financial advisor and issuance of common shares upon exercise of the warrants, including issuance exceeding 19.99% of outstanding shares, and approval of the nominal aggregate exercise price of $0.00001 per share.
Approve adjustment of the number of shares issuable upon exercise of the Warrants pursuant to Section 3.2 of the Warrant Agreement (Adjustment Period modifications).
Approve voluntary adjustments by the Company to lower the exercise price of outstanding Warrants from time to time under Section 3.8 of the Warrant Agreement.
