Three proposals are on the ballot at Sphere 3D Corp.'s special meeting: (1) Warrant Inducement Transaction, (2) Name Change, and (3) Meeting Adjournment. All three proposals were initiated by management, and the Board recommends voting FOR each proposal.
Approve a warrant inducement transaction under which existing warrants may be exercised at $0.94 per share and New Warrants may be issued to purchase up to 8,736,422 additional shares, subject to ownership limits and Nasdaq rules, plus related actions including a resale registration statement and issuance of shares on exercise.
Approve a special resolution to amend the Company’s articles to change the name to Sphere 3D Mining Corporation (or a derivation) as determined by the Board, with Board discretion to revoke the resolution before it is acted on.
Approve the Adjournment Proposal to adjourn the Meeting to solicit additional proxies or to transact other business as may be properly brought before the Meeting.
