Approve an amendment to the Certificate of Incorporation to increase the number of authorized shares of common stock from 80,000,000 to 140,000,000.
Vote to adjourn the Special Meeting to a later date if necessary to permit further solicitation and vote of proxies if, based on the vote at the time of the meeting, there are not sufficient votes to approve Proposals 1 or 2.
