Highlights

New CEO at Janus  

Wealth manager Janus Henderson Group (JHG) appointed Ali Dibadj as the new CEO of the company, effective June 27, 2022.Dibadj succeeds Dick Weil, who will step down as CEO and a member of the board on 31 March 2022. Weil will serve as an adviser to the company until June to support the transfer. Dibadj joins Janus Henderson from AllianceBernstein (AB), where he was CFO and head of Strategy since February 2021. He also worked as a portfolio manager for AB Equities from 2017. CFO Roger Thompson will become interim CEO until Dibadj takes office.

Janus, which manages $432 billion in assets, has suffered a decline in assets for 17 straight quarters, including $5.2 billion in net outflows in the fourth quarter. Activist Nelson Peltz at Trian Partners has been pushing for changes for some time. The firm first took a 9.9% stake in Janus in October 2020, and has steadily increased its stake (now ~16.7%), making it the largest single shareholder in the company. 

Trian also maintains a ~ 9.86% stake in Invesco, fueling speculation that Peltz would attempt to merge the two businesses— an idea that Invesco has since played down. Notably, Peltz is viewed as a key catalyst behind Franklin Templeton’s (BEN) 2020 acquisition of Legg Mason, where he was both a shareholder and board member. 

Trian appears pleased with JHG’s executive change. “Ali’s extensive experience and track record of success at AllianceBernstein gives us confidence in his ability to lead JHG on an exciting new chapter of growth and value creation,” Trian said. “Importantly, we have known Ali for more than 15 years and believe his skill set will be invaluable.”

Ryan Cohen Wins Three Board Seats at Bed Bath & Beyond (BBBY)

Bed Bath & Beyond (BBBY) announced it has reached a settlement with activist investor Ryan Cohen and his investment firm RC Ventures in which three new directors will be added to the company’s board: Marjorie L. Bowen, former director at student-loan servicer Navient and retailer Talbots; Shelly C. Lombard, director of financial services firm Innovate (VATE); and Benjamin (Ben) Rosenzweig, a partner at Atlanta-based Privet Fund Management.

BBBY also agreed that, effective at the 2022 Annual Meeting, the size of the Board will be reduced by three directors to a total of 11 directors. The Board will nominate each of the New Directors (or their replacements) for election as directors at the 2022 Annual Meeting.

Bowen and Rosenzweig will join a four-member Strategy Committee of the Board primarily focused on supporting the Board’s oversight and review of a strategic analysis of the Company’s BuyBuy Baby business.

Cohen, co-founder of pet retailer Chewy (CHWY) and chairman of  videogame retailer GameStop (GME),  disclosed a 9.8% stake in the company earlier this month and pushed for several changes at the company, including narrowing its focus, and exploring a spin-off or sale of the BuyBuy Baby business.

BBBY shares have gained over 50% YTD.
