Board overhaul at Dollar Tree  

Bending to activist pressure, discount variety retailer Dollar Tree (DLTR) reached a settlement with  activist investor Mantle Ridge and is adding seven new directors to its board. Members include: executive chair Richard Dreiling, former CEO from rival discount retailer Dollar General Corp (DG); Mantle Ridge founder Paul Hilal, and five new independent directors unaffiliated with Mantle Ridge. The five additional directors set to join Dollar Tree’s board — Ned Kelly, Cheryl Grisé, Daniel Heinrich, Mary Laschinger and Bertram Scott — were also among those selected by Mantle Ridge previously. 

Investor enthusiasm centers around the theory that a Dreiling-led Dollar Tree will be able to ‘dust off the Dollar General playbook’ at Family Dollar, and fine-tune Dollar Tree’s concept pricing strategy — both of which will drive would drive significant earnings leverage.  

Jeff Ubben steps down from AppHarvest  

Jeff Ubben, founder and director at investment firm Inclusive Capital, steps down as director at Agtech company AppHarvest (APPH). His seat is replaced by Patrick T. Halfmann, a partner at Inclusive Capital. He has been working with AppHarvest since mid-2019 as part of Inclusive’s investment in the company. 

Shakeup at Capri’s Michael Kors  

A succession plan imploded. Just months after he took on the role, Joshua Schulman steps down as CEO of the Michael Kors brand, which is owned by parent company Capri Holdings (CPRI). Chairperson and CEO John D. Idol will remain in his position as part of a move to “execute growth initiatives” at the luxury fashion company, whose brands include Jimmy Choo and Versace. Schulman, former CEO of Coach, took over the Kors CEO role from Idol in September. Schulman was slated to become CEO of Capri later this year. 

Given Capri CEO Idol is in his early 60s, if the original hiring of Schulman is any indication, the board was looking to build out a new generation of leaders. Shares have been under pressure, as it’s unclear whether there will be a new search or if Idol will simply stay put for longer, leaving the succession question unresolved.
